第一条 总则

1.1 本文件由《Noumi 退款政策》与《Noumi 虚拟货币条款》两部分构成，说明 Noumi Pte. Ltd.（新加坡，"我们"）的退款规则及诺米币的性质，与《Noumi 服务条款》一并构成完整协议。

1.2 数字内容与虚拟代币性质：Noumi 提供的积分、诺米币（Noumi Coin）、单曲解锁、商用资格、生成歌曲等均为数字内容/虚拟物品。数字内容一经交付、诺米币一经到账，原则上不可退款、不可兑现为现金。

1.3 法律强制权利优先：本文件不排除或限制任何用户所在地强制消费者保护法律赋予的退款或撤回权利。

第二条 三种付款类型

第三条 A. 积分套餐充值的退款

3.1 充值未消费：积分到账后未被任何歌曲生成任务消费，且充值不超过 7 日，可申请全额退款。

3.2 充值已部分消费：仅可退回未消费部分的等比例金额；已消费积分不退现金，平台可酌情发放等值补偿积分。

3.3 生成失败赔偿：因平台原因导致积分被扣但歌曲未成功生成的，自动退回相应积分至原扣费桶；该退回不构成现金退款。

3.4 不予退款的情形：用户主动取消任务；积分已用于成功生成的歌曲（即使后续删除）；用户违反《服务条款》被处罚。

第四条 B. 单曲商用解锁（¥6.9）的退款

4.1 未生效：付款后 24 小时内，未下载证书、未在解锁歌曲上接受打赏/广告/悬赏的，可申请全额退款。

4.2 已生效：已下载商用证书、已在该歌曲接受任何收益、或解锁已被他人依赖（如已有人对该歌赠送礼物）的，不予退款。

4.3 重复付款：系统故障导致同一歌曲被解锁两次的，自动退回多余款项。

第五条 C. 诺米币充值的退款（重点）

5.1 诺米币的退款基准

• 退款金额以用户实付人民币为基准，而非诺米币面值或数量。
• 部分退款时，按用户充值时的当次到账汇率将"未消费诺米币"折回人民币（见《虚拟货币条款》第二条汇率表）。
• 已用于赠送礼物的诺米币不可撤销、不可退款（除非接收创作者明确同意）。

5.2 Web 端（易支付）

• 诺米币到账后 7 日内、且账户未发生任何赠礼的，可申请全额退款。
• 已部分赠礼的，仅退回未消费诺米币对应的等额人民币（按 5.1 折算）。

5.3 iOS APP 端（Apple In-App Purchase）

• 退款主导方：Apple。用户通过 https://reportaproblem.apple.com/ 申请。
• 平台收到 Apple Server-to-Server REFUND 通知后：
  • 自动从用户账户扣除该笔充值到账的诺米币；
  • 若诺米币已部分用于赠礼，扣除可能导致诺米币余额为负，直至用户补足或自然抵销前，暂停新的赠礼；
  • 若已赠礼给创作者，平台保留从创作者已结算/未结算收益中等额追回的权利。

5.4 Android APP 端（Google Play Billing）

• 退款主导方：Google。收到 voidedPurchaseNotification 后处理逻辑同 5.3。

5.5 重要提示

⚠️ 频繁退款风险：多次申请退款可能导致 Apple/Google 限制账号、永久禁止 IAP。

⚠️ 追回机制：在赠礼后申请退款可能被认定为欺诈，平台保留永久封禁、向 Apple/Google 报告、追究法律责任、从创作者侧追回已分账金额的权利。

第六条 拒付（Chargeback）处理

6.1 用户发起拒付的，平台将立即：冻结相关订单；暂停账户新交易；回收对应积分/诺米币；暂停相关创作者分账提现。

6.2 拒付被裁定有理由的，按本政策退款。

6.3 拒付被裁定无理由或滥用的，平台保留永久封禁、追究欺诈责任、向风控机构报告的权利。

第七条 退款申请流程

7.1 Web 端付款：通过 support@noumi.cc 提交注册邮箱/用户名、订单号或时间、退款原因、支付凭证、（必要时）身份验证资料。

7.2 APP 端付款（iOS / Android IAP）：首先通过 Apple/Google 官方流程申请（iOS：https://reportaproblem.apple.com/ ；Android：Google Play → 我的订单 → 申请退款）。如需平台配合，通过 support@noumi.cc 提交订单号。

第八条 处理时限

8.1 Web 易支付退款：收到完整申请后 7 个工作日内审核；通过后原路退回，到账依支付宝/微信处理时长（通常 3-15 个工作日）。

8.2 APP IAP 退款：Apple 通常 24-48 小时、Google 通常 4 个工作日内出结果；平台侧诺米币扣减在收到通知后 1 个工作日内执行。

8.3 拒付处理：依支付机构争议时限（通常 30-180 天）。

第九条 退款的法律性质

9.1 退款仅限对应订单的实际付款金额，不含汇率、手续费、滞纳金等损失。

9.2 退款币种为原支付币种；如需换币，按退款执行日支付机构汇率结算。

9.3 平台不对汇率波动、跨境支付费用、银行扣费承担补偿责任，法律另有强制要求除外。

第十条 强制权利保留

10.1 欧盟/英国消费者：依 EU 2019/770 与英国《消费者权利法案 2015》，购买数字内容享 14 日冷静期；如在支付页明示同意"立即交付并放弃撤回权"则不适用。平台在支付页提供该明示机制。

10.2 澳大利亚消费者：依 Australian Consumer Law，在质量不合格/与描述不符/不适合预期用途时享不可排除的退款权。

10.3 中国大陆消费者：依《消费者权益保护法》《电子商务法》《网络交易监督管理办法》，享支付错误更正权、未交付数字内容解除权；已即时交付的数字内容（积分到账、诺米币到账、解锁完成）依法不属于"七日无理由退货"范围；涉侵权或欺诈可向消协、市场监管或公安投诉。

第二部分 · Noumi 虚拟货币条款（诺米币）

VC.1 定义与性质

VC.1.1 诺米币（Noumi Coin，简称"币"） 是 Noumi 平台内的虚拟代币，仅用于在 Noumi 内向作品或 Agent 赠送虚拟礼物。

VC.1.2 诺米币不是法定货币、不是预付卡、不具现金价值；用户不可将诺米币兑现、提现、转让、赠与他人账户、或用于 Noumi 礼物以外的任何用途。

VC.1.3 用户对诺米币仅享有在本条款约束下、于平台内使用的有限许可，不享有所有权。

VC.2 获取与汇率（平台差异披露）

VC.2.1 用户通过充值获得诺米币。因 Apple / Google 应用内购买渠道收取平台费用，iOS 渠道的到账汇率与其他渠道不同，到账数量以购买页明示为准：

VC.2.2 各充值档位的实付价格与到账币数在购买页明示，用户确认后即视为接受该档汇率。

VC.2.3 平台保留调整汇率、档位与礼物价格的权利；调整不溯及用户已持有的诺米币数量，且会提前在 APP 内公示。

VC.3 消费、找零与有效期

VC.3.1 赠送礼物按礼物的诺米币标价从余额扣除；礼物标价全平台一致。

VC.3.2 余额零头：当用户余额不足以支付所选礼物时需另行充值；不足一份礼物的零头诺米币将保留在账户中，可与后续充值合并使用。

VC.3.3 有效期：诺米币自到账之日起长期有效，账户正常使用期间不主动清零；若账户依《服务条款》被封禁或注销，账户内未使用诺米币不予退款或折现（法律强制要求除外）。

VC.4 一经赠出不可撤回

VC.4.1 礼物一经赠出即时生效，不可撤回、不可退款，相应诺米币立即扣除并完成向创作者的人民币分账，除非接收创作者明确同意撤回。

VC.5 未成年人与限额

VC.5.1 未满 18 周岁用户不得充值或赠礼；如发现，平台有权冻结相关交易并按强制法律处理监护人退款请求。

VC.5.2 平台可基于风控对充值/赠礼设置单笔或周期限额。

VC.6 失效情形

VC.6.1 诺米币在以下情形可被冻结或失效：账户涉欺诈、盗刷、拒付、洗钱或其他违法违规；经司法或监管要求。

1. General

1.1 This document consists of the Noumi Refund Policy and the Noumi Virtual Currency Terms, describing the refund rules of Noumi Pte. Ltd. (Singapore, "we") and the nature of Noumi Coin. Together with the Noumi Terms of Service it constitutes the complete agreement.

1.2 Nature of digital content & virtual tokens: Credits, Noumi Coin, single-song commercial unlocks, commercial eligibility, and generated songs are digital content / virtual items. Once delivered or credited, they are in principle non-refundable and non-cashable.

1.3 Mandatory rights prevail: This document does not exclude or limit refund or withdrawal rights conferred by mandatory consumer-protection laws in the user's jurisdiction.

2. Three Payment Types

3. A. Refund of Credit Package Recharge

3.1 Unconsumed: Full refund if credits are unconsumed and within 7 days. 3.2 Partially consumed: Only the unconsumed proportion is refundable; consumed credits are not cash-refundable, compensation credits at discretion. 3.3 Generation failure: Credits auto-returned to the original bucket; not a cash refund. 3.4 Non-refundable: Voluntary cancellation; credits used for successfully generated songs (even if later deleted); penalties for ToS violation.

4. B. Refund of Single-Song Commercial Unlock (¥6.9)

4.1 Not yet effective: Within 24h, if no certificate downloaded and no tips/ads/bounties accepted, full refund. 4.2 Already effective: No refund once certificate downloaded, revenue accepted, or unlock relied upon by others (e.g., gifts already sent). 4.3 Duplicate payments: Excess auto-refunded.

5. C. Refund of Noumi Coin Recharge (Important)

5.1 Refund basis

• Refunds are based on the CNY actually paid, not on Coin face value or quantity.
• For partial refunds, unconsumed Coins are converted back to CNY at the exchange rate applied at the time of that recharge (see Virtual Currency Terms §2).
• Coins already spent on gifts are non-cancelable and non-refundable (unless the receiving creator expressly consents).

5.2 Web (RainbowPay)

• Within 7 days of crediting and before any gifting, a full refund may be requested.
• If partially spent, only the CNY equivalent of unconsumed Coins is refundable (per 5.1).

5.3 iOS APP (Apple In-App Purchase)

• Refund authority: Apple, via https://reportaproblem.apple.com/.
• Upon Apple S2S REFUND, the Platform deducts the recharged Coins; if partially spent, balance may go negative, suspending new gifting until topped up or offset; if already gifted to creators, the Platform reserves the right to recover the equivalent from the creator's settled/unsettled earnings.

5.4 Android APP (Google Play Billing)

• Refund authority: Google; upon voidedPurchaseNotification, logic follows 5.3.

5.5 Important Notice

⚠️ Frequent refunds may cause Apple/Google to restrict the account or ban IAP. ⚠️ Recovery: Refunds after gifting may be deemed fraudulent; the Platform reserves the right to ban the account, report to Apple/Google, pursue liability, and recover distributed amounts from the creator side.

6. Chargeback Handling

6.1 On a chargeback, the Platform freezes the order, suspends new transactions, recovers credits/Coins, and suspends related creator payout. 6.2 If meritorious, refund follows this Policy. 6.3 If abusive, the Platform reserves the right to ban, pursue fraud liability, and report to risk-control bodies.

7. Refund Application Process

7.1 Web payments: via support@noumi.cc with email/username, order number/time, reason, payment proof, and (if needed) identity verification. 7.2 APP payments: first apply via Apple/Google official flows; submit the order number to support@noumi.cc if Platform cooperation is needed.

8. Processing Time

8.1 Web RainbowPay: reviewed within 7 business days; returned via original channel (Alipay/WeChat typically 3-15 business days). 8.2 APP IAP: Apple 24-48h, Google within 4 business days; Platform-side Coin deduction within 1 business day of notification. 8.3 Chargeback: per provider timelines (typically 30-180 days).

9. Legal Nature of Refunds

9.1 Limited to the actual payment amount, excluding exchange-rate, fee, or late-charge losses. 9.2 In the original payment currency; conversions at the provider's rate on the refund date. 9.3 No compensation for FX fluctuation, cross-border fees, or bank charges, except as mandated by law.

10. Mandatory Rights Reservation

10.1 EU/UK: 14-day cooling-off under EU 2019/770 and UK CRA 2015; disapplied if the user expressly consents to immediate delivery and waiver on the payment page. 10.2 Australia: non-excludable refund rights under the ACL for unacceptable quality / mismatch / unfit purpose. 10.3 Mainland China: rights to correct payment errors and rescind undelivered digital content; immediately delivered digital content (credits, Coins, unlocks) falls outside the "7-day no-reason return"; fraud/infringement may be reported to authorities.

Part 2 · Noumi Virtual Currency Terms (Noumi Coin)

VC.1 Definition & Nature

VC.1.1 Noumi Coin ("Coin") is an in-platform virtual token used solely to send virtual gifts to works or Agents within Noumi.

VC.1.2 Coin is not legal tender, not a stored-value/prepaid card, and has no cash value; it cannot be cashed out, withdrawn, transferred, gifted to other accounts, or used outside Noumi gifting.

VC.1.3 Users hold only a limited, revocable license to use Coin within the platform under these Terms, and acquire no ownership.

VC.2 Acquisition & Exchange Rate (platform-difference disclosure)

VC.2.1 Coins are obtained by recharge. Because Apple / Google in-app purchase channels charge platform fees, the crediting rate on iOS differs from other channels, as disclosed on the purchase page:

VC.2.2 The price paid and Coins credited for each tier are shown on the purchase page; confirmation constitutes acceptance of that tier's rate.

VC.2.3 The Platform may adjust rates, tiers, and gift prices; adjustments are not retroactive to Coins already held and will be announced in-app in advance.

VC.3 Spending, Remainders & Validity

VC.3.1 Gifting deducts the gift's Coin price; gift prices are identical across platforms.

VC.3.2 Remainder Coins: if the balance is insufficient for a chosen gift, an additional recharge is required; leftover Coins remain in the account and combine with future recharges.

VC.3.3 Validity: Coins are long-lived and are not proactively expired during normal account use; if the account is banned or closed under the ToS, unused Coins are non-refundable and non-cashable (except as mandated by law).

VC.4 Gifts Are Irrevocable

VC.4.1 A gift takes effect immediately and is irrevocable and non-refundable; Coins are deducted and the CNY split to the creator is completed at once, unless the receiving creator expressly consents.

VC.5 Minors & Limits

VC.5.1 Users under 18 may not recharge or gift; the Platform may freeze such transactions and handle guardian refund requests per mandatory law. VC.5.2 The Platform may set per-transaction or periodic recharge/gifting limits for risk control.

VC.6 Forfeiture

VC.6.1 Coins may be frozen or forfeited where the account is involved in fraud, stolen-card use, chargeback abuse, money laundering, or other illegality, or as required by judicial/regulatory authorities.
